TERMS & CONDITIONS

“Onyx Group” means Onyx Fire Protection Services Inc. and its affiliates/operating divisions. Services are provided by the Onyx Group entity shown on the quotation/invoice (the “Service Provider”).

  • Payment Terms: Net 30 days from invoice date, unless otherwise agreed upon, in writing, by the Service Provider. Pre-payment may be required unless credit terms are approved in writing.
  • Interest / Credit: 2% monthly interest may apply to overdue balances (OAC). The Service Provider may adjust or revoke credit privileges. Materials remain the property of the Service Provider until paid in full.
  • Pricing Validity: Prices valid for 30 days from quotation date. For clarity, acceptance of this quotation after 30 days, requires written confirmation from Service Provider with respect to pricing.
  • Service Pricing (Vehicle/Mobilization): Quoted service rates include standard mobilization and service vehicle costs; additional visits/time due to access, scheduling changes, or client/AHJ requirements may be billable.
  • Hours of Work: This quote is to perform work during normal business hours (Mon-Fri 8:00am – 4:30pm) unless otherwise stated or agreed upon in writing.
  • Backflow Prevention: Testing must be completed by a licensed tester where required; Administration/report processing fees may apply where submission is completed on the client’s behalf.
  • Seasonal Maintenance: Winter preventative maintenance (e.g., drum-drip draining) may be required Oct–May; available upon request (additional charges apply).
  • Inspection Criteria: Detailed inspection criteria available upon request (Appendix A).

 

EXCLUSIONS & QUALIFIERS

  • Specialized Equipment / Access: Client assumes costs/requirements for access equipment and safety provisions (e.g., lifts, scaffolding, fall protection, confined space, escorts).
  • Private Water Tanks: Inspection/testing quoted separately after evaluation.
  • Site Arrangements / Restricted Areas: Client responsible for access and arrangements for vaults, elevator pits/shafts, roof hatches, locked rooms, hydro rooms, or any other restricted areas; return visits due to lack of access may be billable.
  • Delays / Overage: Additional hourly charges may apply for delays or overruns due to poor cooperation, inaccessible areas, or unsafe access.
  • Deficiency Repairs: Completed only with client authorization. Where a pre-approved repair limit applies (e.g., $500/$1,000), minor repairs may be completed during the inspection; additional repairs quoted separately.
  • Additional Labour / Monitoring Duties: Additional technicians or site-specific monitoring/escort duties are extra unless included in the quotation.
  • Cosmetic Repairs / Disposal: Excludes wall/ceiling/pipe patching/painting and restoration; disposal (including extinguishers/batteries) may be charged separately.
  • Municipal / Public Works Delays: Additional charges may apply for delays caused by municipal/public works shutdowns or site-controlled approvals (regular/after-hours rates plus applicable tax).
  • Drain Responsibility: Client responsible for ensuring drains are clear for sprinkler discharge; flooding due to clogged drains is not the Service Provider’s responsibility.
  • Municipal Submission Fees: Not included unless explicitly stated on the quotation/invoice.

 

ADDITIONAL TERMS

  • Entire Agreement Statement: This Agreement constitutes the entire agreement between the parties and supersedes and prior discussions or representations, subject to any changes to the Agreement, agreed upon in writing.
  • Liability Limitation: Except as required by applicable law or in cases of the Service Provider’s proven gross negligence or willful misconduct, the Service Provider shall not be liable to the Client or any third party for any damages of any kind, whether direct, indirect, incidental, consequential, special, or punitive, including but not limited to loss of profits, revenue, or business opportunities, arising out of or related to the Services provided under this Agreement.
  • Force Majeure: The Service Provider shall not be liable for any failure or delay in performing their obligations under this agreement (other than payment obligations) if such failure or delay is caused by circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, governmental actions or restrictions, labor disputes, supply chain disruptions, transportation delays, utility failures, or any other event that makes performance impracticable. Service timelines shall be extended for the duration of the Force Majeure event without penalty or liability.
  • Indemnification: The Client will indemnify and hold harmless the Service Provider, their officers, directors and employees, from and against all claims and actions, including all legal fees, arising out of damages or injuries to persons or tangible property to the extent they are caused by negligent acts, errors, or omissions of the Client or any of its agents, subcontractors, or employees in the performance of the Services under this Agreement or from any breach of or non-compliance with this Agreement.
  • Termination: Either party may terminate this agreement upon thirty (30) days’ prior written notice to the other party. The Service Provider may terminate immediately for cause, including but not limited to non-payment, breach of obligations, or unsafe site conditions. Upon termination, the Service Provider shall be paid for all services performed and costs incurred up to the effective date of termination. Any prepaid amounts for unperformed services will be refunded, less any applicable charges. Termination shall not relieve either party of obligations that have accrued prior to termination.

 

Appendix A — Inspection Criteria

Regulatory basis (nationwide):

Onyx performs inspection, testing, and maintenance in accordance with the applicable provincial/territorial Fire Code (each based on the National Fire Code of Canada with local amendments). We follow the relevant CAN/ULC and CSA standards used across Canada, and NFPA standards where adopted by the Authority Having Jurisdiction (AHJ). This page is a high-level summary only. Your inspection may differ depending on the approved scope of work accepted on your quote.

1) Fire Alarm & Voice Communication (ULC-centric)

Typical items we check

· Initiating devices: manual pull stations, smoke (spot/duct), heat, waterflow/tamper inputs

· Notification: horns, strobes, speakers (incl. intelligibility where required)

· Control equipment: control unit and annunciators, power supplies, standby batteries

· Ancillary/supervisory: Relay operational checks on elevator recall, door hold-opens/releases, smoke control fans/dampers

· Circuit integrity: addressable loop modules/isolators; end-of-line integrity where conventional

· Monitoring: signal transmission to the supervising station (where provided)

Standards referenced: CAN/ULC-S536 (inspection & testing), CAN/ULC-S537 (verification of new/modified), CAN/ULC-S524 (installation), CAN/ULC-S561 (monitoring). NFPA 72 referenced only where adopted by the AHJ.

 

2) Emergency Lighting & Exit Signs

Typical items we check

· Fixture heads (unit & remote), test buttons/indicators operational

· Batteries/chargers, terminals, corrosion, wiring condition

· Exit signs illuminated/legible; direction arrows correct

· Functional tests: monthly quick test and annual full-duration run as required by the local Fire Code

 

3) Portable Fire Extinguishers & Hose Cabinets

Typical items we check

· Correct type, size, placement, mounting height, and clear access

· Condition: pins, tamper seals, hoses/nozzles, gauges or weight (per model)

· Tagging & maintenance intervals (hydrostatic testing when due)

· Standpipe hose stations: hose fabric, nozzles/gaskets, cabinet & valves operational

Standards referenced: NFPA 10 (extinguishers) and NFPA 25 (hose/standpipe ITM) as adopted.

 

4) Sprinkler / Standpipe / Preaction / Deluge (Water-Based Systems)

Typical items we check

· Valves: control, check, alarm; supervisory tamper switches functional

· Flow devices: waterflow switches; inspector’s test for alarm/flow timing (as applicable)

· Gauges & drains: condition/age; main & auxiliary drains operate

· Piping & supports: leaks, corrosion, pitch, hangers, seismic bracing (where installed)

· Sprinkler heads: damage, paint/obstruction, spacing/clearances; sample inspections by type/age

· Dry/preaction: low-air pressure, priming water, detection interlocks as designed

· FDC/Siamese: caps/chains, signage, checks, accessibility

5) Fire Pumps

Typical items we check

· Annual flow test at churn (no-flow), 100%, and 150% rated flow; record pressure/flow curve

· Controller status/alarms; auto-start/transfer; run times per driver (electric/diesel)

· Suction/discharge gauges, packing/leakage (if applicable), RPM/voltage/amperage readings

· Relief/check valves and drainage arrangements function as designed

Standards referenced: NFPA 25 (pump testing) as adopted.

 

6) Private Fire Hydrants (on Private Mains)

Typical items we check

· Operating nuts/valves, lubrication, cap threads/chains

· Leak checks and barrel drainage; ground-level clearances & visibility

· Flow testing at required intervals; record pressures/flows

Standards referenced: NFPA 25 (hydrants) as adopted.

 

7) Clean-Agent / Special Hazard Systems

Typical items we check

· Cylinder mass/pressure, release mechanisms, pressure gauges

· Detection/release panel, manual release & abort, interlocks (e.g., HVAC shutdown)

· Nozzles/piping integrity & coverage; enclosure integrity where specified by design

· Post-discharge indicators and inhibit functions (where provided)

Standards referenced: NFPA 2001 (clean agents, e.g., HFC-227ea/FM-200, FK-5-1-12) as adopted.

 

8) Commercial Kitchen Wet-Chemical Systems

Typical items we check

· Nozzle caps/alignment/coverage for current appliance layout (changes flagged)

· Detection elements/fusible links replaced on schedule; conduit/cable condition

· Manual pull operation and fuel/power shutoff interlocks verified

· Adjacent Class K extinguisher present and accessible

Standards referenced: NFPA 17A (wet chemical) & NFPA 96 (hood/vent) as adopted.

 

9) Backflow Preventers (Fire Service / Domestic where in scope)

Typical items we check

· Device type (RP, DCVA, PVB) matches application; orientation & clearance

· Shutoff valves and test cocks operate; differential-pressure checks per procedure

· Relief-valve discharge (RP) verified; internal leakage/corrosion noted

· Municipal test report completed/submitted where required

Standards referenced: CSA B64.10 (selection/installation) & CSA B64.10.1 (maintenance/field testing).

Integrated & monitored systems (where applicable)

· Integrated systems testing: Where fire alarm, smoke control, elevator recall, door hold-opens, generators, etc., are integrated, Onyx conducts or coordinates integrated testing per CAN/ULC-S1001 as required by the local building/fire code and AHJ direction.

· Monitoring: Where fire alarm monitoring is provided/required, we verify conformity to CAN/ULC-S561 and support ULC Certificates where mandated by AHJ/insurers.

Onyx performs all inspection, testing, and maintenance in accordance with the applicable provincial/territorial Fire Code and the adopted standards, including but not limited to CAN/ULC-S536 (inspection & testing of fire alarm systems), CAN/ULC-S537 (verification of new/modified fire alarm systems), CAN/ULC-S561 (fire alarm monitoring), CAN/ULC-S1001 (integrated systems testing where required), CSA B64.10/B64.10.1 (backflow), NFPA 10 (portable extinguishers), NFPA 25 (water-based systems, pumps, hydrants), NFPA 96/17A (commercial cooking), and NFPA 2001 (clean agents), as adopted by the AHJ. Manufacturer instructions and AHJ directives apply. Records are maintained as required by the local Fire Code or other governing bodies.
